
Please read these terms carefully. Service-specific sections apply only where the relevant service is included in your confirmed Order.

Client means the person or entity identified as the customer in a confirmed Order, and any person authorised by that customer to give instructions.
Client Appointee means a person nominated or appointed in connection with a Company, including a director, company secretary, manager, partner, trustee, authorised signatory, officer, attorney, administrator, registered agent or shareholder.
Company means the company or other legally recognised entity to which the confirmed Services relate, whether or not HKBSCL formed it.
HKBSCL means Hong Kong Business Services Centre Limited.
Individual means a natural person.
Order means an online checkout, quotation, invoice, engagement letter or statement of work that identifies the Services and price and has been expressly accepted by the Client.
Services means only the services identified in the applicable confirmed Order.
HKBSCL reserves the right to suspend the provision of any services and has the right to stop taking action against any client who has become or becomes an excluded person or engages in any illegal or prohibited activity, without further notice. HKBSCL may also refuse, suspend, or terminate services, retain compliance records, request further information, or make reports to competent authorities where required or permitted by anti-money laundering, sanctions, tax, company registry, court, law enforcement, or other legal and regulatory requirements.
The Client must pay the price stated in the confirmed Order. For an online Hong Kong company-formation checkout, the total checkout price is the selected HKBSCL service fee plus the HK$1,545 electronic incorporation fee and the HK$2,350 one-year Business Registration Certificate fee and levy, so the government-fee component is HK$3,895.
Once an Order is confirmed and paid, its price is fixed for the confirmed scope. Additional or changed work requires a separate written quotation or the Client's express written approval. If a government fee changes before submission, HKBSCL will explain the difference and obtain the Client's written agreement before collecting an additional amount or refunding a reduction.
Annual services do not renew automatically. A reminder, quotation or invoice is not acceptance, and silence or failure to object does not create a renewal. HKBSCL will renew an annual service only after the Client gives express written approval for the new service term and agrees the applicable fee.
The Client remains responsible for agreed government, registry, bank, broker, payment-processor, tax, duty, courier and other third-party costs. Refunds are handled under the Refund Policy below.
Directors and officers will always consider client requests, but do not require them to act in any way they consider dishonest, illegal, improper, or unethical.
The registered office address provided by HKBSCL to the client company shall not be cited in any marketing or company information, advertisements, or announcements without the express written consent of HKBSCL.
HKBSCL or the registered agent of the relevant jurisdiction may move its office to another location, and this may require a change in the company's registered office address.
Service-specific sections apply only where the relevant Service is included in the confirmed Order. The confirmed Order controls the scope and price; these Terms control general service matters; and a later written amendment signed or expressly accepted by both parties controls to the extent of a conflict.
The Client must provide instructions in writing and keep authorised contact details current. A notice sent to the latest postal or email address supplied by the Client is treated as delivered in the ordinary course, subject to applicable law.
General website information is not legal, tax, accounting, statutory-audit or other professional advice. HKBSCL staff may clarify our service scope; the Client should obtain independent qualified advice where required.
For mail received under an agreed address service, HKBSCL may inspect the exterior for routing, safety, security and compliance. HKBSCL will open or scan contents only under the Client's current written instructions or where required or permitted by law. Opening or inspection does not create an entitlement to scanning or forwarding outside the agreed scope.
The Client must provide true, complete, accurate and current identity, ownership, contact, business, source-of-funds, source-of-wealth and supporting information. HKBSCL may rely on that information for filings, records, accounting or tax support, company secretarial work, audit arrangement or coordination and related communications. The Client must promptly notify HKBSCL of relevant changes.
Version 2026-07-23 applies to Orders accepted on or after 23 July 2026. The version accepted for a paid service term continues to govern that term. Annual Services do not renew automatically and require the Client's express written approval for each new term. We will post the current version on this page and normally give affected Clients at least 30 calendar days' email notice before a material change takes effect. Changes apply prospectively. A shorter notice period may apply where required by law, regulation, security or an urgent operational need, in which case we will notify affected Clients as soon as reasonably practicable.
These Terms and each Order are governed by the laws of Hong Kong. Any dispute, controversy, difference or claim arising out of or relating to these Terms or an Order, including their existence, validity, interpretation, performance, breach or termination, shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of arbitration is Hong Kong. The tribunal shall consist of one arbitrator. The arbitration language is English. The award is final and binding on the parties.
Before work starts: HKBSCL will refund the service fee and any government fee not yet spent. An actually incurred and non-recoverable bank, payment-processor or third-party charge may be deducted if disclosed.
After work starts but before government submission: HKBSCL will refund unspent government fees and the unused service-fee balance after deducting the document-preparation charge stated in the confirmed Order and the value of work already completed.
After government submission: The HKBSCL service fee is not refundable. Any government amount actually refunded to HKBSCL for the application will be passed to the Client, less only an agreed or disclosed non-recoverable third-party charge.
HKBSCL error: If an application fails because of HKBSCL's error, HKBSCL will, at the Client's choice where reasonably practicable, correct and resubmit it without an additional HKBSCL service fee or refund the affected service fee and any recoverable government amount.
Client cancellation, inaccurate information or non-cooperation: HKBSCL may deduct completed work and non-recoverable costs and will refund any unused service-fee balance and unspent government amount. A refusal or termination required by law, sanctions, anti-money-laundering or compliance duties is handled on the same basis unless applicable law requires otherwise.
Annual services: Annual services do not renew automatically. Once an expressly approved annual service term starts, its fee covers the full agreed term and is not refundable for an early voluntary change of provider, except where HKBSCL fails to provide the agreed service.
The Cloud Document Storage archive uses approved cloud infrastructure, including Amazon Web Services (AWS). For each new online formation submission completed through this workflow, HKBSCL creates a server-generated official formation evidence PDF containing the complete submitted form, signature and accepted terms snapshot. The exact PDF object version is stored in the relevant client's Amazon S3 Documents/company_secretary area with AWS KMS encryption and S3 Versioning; HKBSCL records its exact VersionId and SHA-256 hash. These controls provide verifiable evidence and an audit trail, not immutable storage: authorised users or systems with sufficient AWS permissions may delete an object version, upload a replacement or change which version is current. It is made available to authenticated authorised clients during an active paid service term. The MongoDB/controlled-database record is currently retained as an operational copy and index for ERP compatibility, while the PDF is the formal archived evidence. This does not mean that historical submissions or records created through other systems have been migrated.
Other client documents included in the agreed service scope may also be stored in the relevant client's Documents area; this is not general-purpose storage. The service is not an independent backup, and we do not guarantee uninterrupted access, a recovery time or recovery from every incident. Clients must regularly download and keep their own copies of important files.
Capacity, authorised users, included documents and any migration or additional handling are confirmed in writing before ordering. Clients should download required copies before cancellation or the end of the paid term; continued access afterward is not guaranteed. The live archive and client access are separate from limited copies that HKBSCL may retain or delete under legal and record-keeping duties.
HKBSCL may inspect stored content for service, security and compliance purposes. Client correspondence received under an address service is handled under the mail provisions in these Terms.
The version agreed for the paid service term continues to apply during that term. Material changes are notified under the Term, Renewal and Changes section.
The agreed Cloud Document Storage archive uses approved third-party cloud infrastructure, including Amazon Web Services (AWS). Provider systems may store, back up, replicate or process encrypted or access-controlled data in Hong Kong, elsewhere in the Asia-Pacific region or other locations according to their service architecture and configuration. HKBSCL does not promise that all data is stored only in Hong Kong unless this is confirmed in writing for the relevant service.
We use access controls, provider due diligence, contractual terms and technical safeguards appropriate to the data and service, with reference to the Personal Data (Privacy) Ordinance.
Every Hong Kong company must have a company secretary. An individual company secretary must ordinarily reside in Hong Kong; a body corporate must have its registered office or a place of business in Hong Kong. A sole director cannot also act as company secretary of the same company.
Where included in the confirmed Order, the annual service includes:
Changes, special resolutions, registers, late filings and other work outside the confirmed scope are quoted separately and require approval. The Client must keep contact and company particulars current, respond promptly to approval requests and notify HKBSCL of relevant changes. The service does not renew automatically.
Section 658 of the Hong Kong Companies Ordinance (Cap. 622) requires a Hong Kong company to maintain a registered office in Hong Kong to which communications and notices may be sent. The following provisions apply to a registered-address or correspondence-address service only where that service is included in the confirmed Order.

The Client must maintain another address for actual business operations, keep instructions current and act promptly on time-sensitive correspondence. Address services do not renew automatically.
Hong Kong companies must keep adequate accounting records and prepare financial statements in accordance with applicable requirements. Where a statutory audit is required, it is performed and signed only by an independent auditor eligible for appointment by the Company.
HKBSCL may provide bookkeeping, accounting support and financial-statement preparation where included in the confirmed Order. HKBSCL does not perform or sign statutory audits. HKBSCL's audit-arrangement role is limited to arranging or coordinating the appointment and workflow of an independent auditor.
The Client remains responsible for complete and accurate records, supporting documents, directors' approvals and timely responses. The independent auditor determines the audit procedures, findings and opinion.
Where included in the confirmed Order, HKBSCL may assist with Hong Kong tax-return preparation, filing administration, extension or objection requests and correspondence with the Inland Revenue Department. Appointment as tax representative applies only where separately confirmed.
The Client must provide complete and accurate information and supporting records, approve filings and meet payment obligations. HKBSCL does not guarantee a tax position, exemption, assessment or outcome. Advice requiring a regulated or independent professional is outside scope unless expressly arranged in writing.
