Requirements for Hong Kong Company Formation

Setting up a company in Hong Kong involves meeting these straightforward requirements

Company Directors and Shareholders

At least one director and one shareholder (can be the same person). No residency requirements for directors or shareholders.

Company Secretary

Must appoint a company secretary. An individual must ordinarily reside in Hong Kong; a body corporate must have its registered office or a place of business in Hong Kong. The sole director cannot also act as company secretary of the same company.

Registered Office

Your company must maintain a registered office address in Hong Kong where official communications can be sent.

Company Name

Choose an available company name. An English name must end with 'Limited'; a Chinese name must use traditional Chinese characters and end with '有限公司'. A company may register an English name, a Chinese name, or both, but a single name cannot mix English letters and Chinese characters.

The Companies Registry normally issues electronic incorporation and business-registration certificates within one hour after a complete electronic application is accepted; hard-copy applications normally take four working days. The full HKBSCL completion time also depends on identity checks, company-name review, document preparation, signatures, payment and delivery, so it cannot be guaranteed. Do I need to be in Hong Kong to set up a company?
Company incorporation can usually be coordinated without your physical presence in Hong Kong. Identity checks, certified documents, signatures, banking and regulated activities may have separate in-person or verification requirements, so we confirm the steps for the people and structure involved.
What are the ongoing compliance requirements for Hong Kong companies?
A typical active private company must maintain accounting and statutory records, prepare annual financial statements, arrange the statutory audit with an independent auditor, file every Profits Tax Return by its deadline, renew its Business Registration Certificate, file NAR1 within 42 days after each incorporation anniversary, maintain its registered office, company secretary and Significant Controllers Register, and report relevant changes on time. Annual general meeting and dormant-company exceptions depend on the company's circumstances.
Can foreigners own 100% of a Hong Kong company?
Hong Kong private-company shareholders generally have no Hong Kong nationality or residence requirement, so foreign persons may hold all shares. Customer due diligence, sanctions, beneficial-ownership reporting and any sector-specific licence or ownership rule still apply.
How much share capital is required to set up a Hong Kong company?
An ordinary Hong Kong private company limited by shares has no statutory minimum share-capital amount. Choose the amount, currency, number and rights of shares for the actual ownership and funding plan, and record the subscribed shares accurately in the incorporation documents and company records.
